I heard Linwood Boomer (creator of Malcolm) speak at an event at the Museum of Television and Radio, where he said the problem is that the cost of getting the rights to the songs used in Season 2 would be prohibitive to distributing a DVD. There is basically no way they could reasonably charge enough for each copy in order to recoup the cost of buying the music rights.
Other shows (Buffy and Angel, I think) have re-edited certain episodes with new music in order to keep the cost down, though this has been met with a lot of outrage from fans.
Chances are pretty slim that it will be released barring some drastic change in the way royalties are paid out. It's also probably the reason why we'll never see the Wonder Years on DVD.

I hate this show. They are so dysfunctrional. The kids are awful and so is the parenting. It is kind of disturbing.
