On paper its the FCC and the FTC. In reality, its the politicians who are in the back pocket of the NAB and terrestrial radio companies who want to stop it. It probably will be approved, but the Exxon-Mobile merger took almost half the time this merger is taking. Its politicians with conflicting interests who are dragging this out, because there is no reason for them not to merge.

Have patience, it will happen - maybe as soon as this week. (2/19).

Last I heard it was final blessings from Federal government because of the anti-trust issues (they want to make sure a merged company can't corner the market on sat radio for instance)
