Man ... seems like some people don't know what a "spoiler" is ... especially the "PI" dude who thinks he knows it all ... 3PO never says "I'm beside myself" in ep II ... he does say some really corny things but not that.

Anyways, the "phantom menace" is the Sith ... they were believed to be extinct but in fact have been in hiding for 1000 years using the "Rule of Two" to stay hidden. The "Rule of Two" is what Yoda says to Mace at the end of the movie ... "Always two there are ... a master and an apprentice". The Sith have stayed hidden just bidding their time until they could spring out of no where and destroy the Jedi. Almost works.

Darth Sidious/Palpatine is the Phantom Menace because he's a Dark Lord of the Sith in disguise, plotting to overthrow the Jedi order and enslave the galaxy under his despotic rule. Everything that happened in that movie was part of his nefarious plot.

In "When Clones Attack" C3P0 falls into a factory conveyor belt like in a video game or Popeye cartoon from the 30's and has his head replaced with a battle droid head and his head put onto a battle droid body, and he says the most incredibly stupid clichés ever uttered in a film, such as "I'm beside myself". Sure you want to continue the series?

I think it has to do with Dark Maul or his master, because the Jedi don't know who the bad guys is (a Phantom Menace).

I found also this on a random Website:
--------------------------------------...
There is a great deal of speculation as to what the title, "The Phantom Menace", refers to; the titles of the other films seem to generally be self-explanatory. It is usually suggested that the title refers to Darth Sidious, Darth Maul, or the Sith in general.

The title could also refer to the origin of Darth Sidious' name, which is the adjective 'insidious'. The Oxford Dictionary gives following definition:

Full of wiles or plots; lying in wait or seeking to entrap or ensnare; proceeding or operating secretly or subtly so as not to excite suspicion; sly, treacherous, deceitful, underhand, artful, cunning, crafty, wily. (Of persons and things.)

So the 'phantom' in the title of Episode I could be referring to the Dark Lord of the Sith and ‘menace’ to the meaning of the name 'Sidious.' Another possible meaning of the title is a subtle indication at the ultimate outcome of the Saga--Anakin becomes Darth Vader.

A further theory is based upon the understanding that the central menace of the movie, the Neimoidian dominated Trade Federation's blockade and invasion of Naboo, is itself nothing more than a phantom, a piece of political misdirection wrought by Darth Sidious as part of the machinations designed to bring about the ultimate victory of the Sith. In this sense, the key outcome of this movie is the elevation of Palpatine to the office of Chancellor - an outcome that would have resulted had the Trade Federation's gambit succeeded or failed. The keystone of the plot is the plight of the Naboo arousing a sympathy vote in the Senate. Whilst the heroes are focused on combating the threat to Naboo, they are unwitting pawns in a connivance of far greater scope.

Given Lucas' penchant for layered meanings in these movies, it is arguable that all these interpretations contain a grain of truth.

The Phantom Menance is a reference to the return of the Sith. The galaxy as a whole, and the Jedi in particular, believe the Sith are no more. But in actuality they have been in hiding for centuries. It is they who are behind the Trade Federation of Naboo, and they who are manipulating things behind the scenes. Until Qui-Gon and Obi-Wan bring word of Darth Maul back no one has actually reported and been believed that the Sith still exsist.

There are 2 dark figures rising in this movie who will play an important part in the next two movies; "Phantom" meaning unseen as of yet, like a ghost, waiting in the background; "Menace" meaning it will cause trouble.
Personally, I think the title was dumb - sounded more like the name of a comic book.

The Bad guy is the Sith Lord, but we do not know who it is, cant say more...Look to the Force!

Darth Sid is the dude with the thing.
