Peter Jackson is producing and co-writing the films but not directing them. Guillermo del Toro ("Pan's Labyrinth," "Hellboy") has been approached about directing. One film will recount the events in Tolkien's "The Hobbit" (including how the ring came to be in Bilbo's possession), and the other will fill in the 60-year gap between the events of that book and those in the LOTR trilogy.

Movie has not been cast yet, but they'd have to do a lot of makeup/CGI to make Ian Holm look young enough to play Bilbo, at least in the first movie, so I suspect they'll go with a younger actor. Ian McKellen could still play Gandalf, and I imagine Jackson will try to cast him again.

Now that New Line is being absorbed by Warner Bros., there's still some question as to how many (if any) of the projects that the studio was developing will continue to go forward. But Warners will almost certainly continue developing the Hobbit movies, since they're almost guaranteed blockbusters.
