I think they say heads up when they want to you get attention of what is above you!. In an emergency situation, they say "duck"!.

Because people love irony and saying heads up is the exact opposite of what the phrase actually means, which means duck and put ur head dow!.Www@Enter-QA@Com
Because they think people can react as fast as you'd want them to!. Heads UP means look up and see what's up to hit you then duck or look away before it does!.!.!. but of course people only get past the 1st stage!.Www@Enter-QA@Com
