Question: i need details because i have a friend that has been approched by investor and he needs advice.

what should they cover? what % royallty should they make if he makes over what amount? he asked me to find out

Always try to get as much as you can keep up with. Basically he will keep getting what he wants as long as he produces good music but if he falters and his requirements from them are too high then they will drive him like a slave until he does well or dies out, because whatever he gets he has to earn. Also just do some math if a song sells for a dollar a download and cd for 15 bucks a pop and concert tickets sell at 30-100 bucks then 1% of all revenue is probably not too much. Think of the salary as a commission of sorts, demand like 10% minimum and retain all rights to all music. And overall get a good lawyer to sort out all the details because the industry will rape your friend if they have a chance!

Fairly, they should be able to claim no more than 20% of his income from royalties, shows, etc....depending, of course, on how much of a percentage he chooses to sell them and at what cost to the investor.
